(b) On July 31, 2015, Toys “R” Us, Inc. (the “Company”) announced that the employment of Deborah M. Derby will terminate on August 3, 2015. This termination of employment shall be treated as a termination without cause pursuant to her employment agreement and other arrangements. Ms. Derby has served as the Company’s Vice Chairman and Executive Vice President since March 2013.
