ITEM 1.      SECURITY AND ISSUER

       The class of securities to which this statement relates is common stock, par value $.05 per share (the "Common Stock") of Global Casinos, Inc., a Utah corporation. The address of the principal executive offices of the Company is 5455 Spine Road, Suite C, Boulder, Colorado 80301.

ITEM 2.      IDENTITY AND BACKGROUND

       (a)-(c)      This Statement is being filed by Clifford L. Neuman, whose address is 1507 Pine Street, Boulder, Colorado 80302. Mr. Neuman is a director of and serves as legal counsel to the Company.

        (d)-(f)  The natural person referred to above is a United States Citizen. During the last five years, he has not been (i) convicted in any criminal proceeding (excluding traffic violations or similar misdemeanors) or (ii) been a party to a civil proceeding of a judicial or administrative body of competent jurisdiction and as a result of such proceeding was or is subject to a judgment, decree or final order enjoining future violations of, or prohibiting or mandating activities subject to, federal or state securities laws or finding any violation with respect to such laws.

ITEM 3.      SOURCE AND AMOUNT OF FUNDS OR OTHER CONSIDERATION

       On August 19, 2004, Mr. Neuman purchased 100,000 shares of the Issuer's common stock as restricted securities at a price of $.20 per share. The purchase price of $20,000 was paid by a credit of $20,000 against the outstanding open account payable by the Company to Mr. Neuman for past legal services.

       On August 19, 2004, Mr. Neuman was granted options exercisable to purchase an aggregate of 100,000 shares of common stock at an exercise price of $.10 per share (the "Options") in consideration of his service as a director of the Company since 1997.

ITEM 4.       PURPOSE OF TRANSACTION

       The shares were acquired by Mr. Neuman for investment. Mr. Neuman reserves the right to acquire additional shares of the Issuer, either in open market purchases or in private transactions. While Mr. Neuman serves a member of the board of directors of the Issuer, the shares have not been acquired for the specific purpose of influencing control of the Issuer.

ITEM 5.      INTEREST IN SECURITIES OF THE ISSUER

       (a)       At the close of business on August 19, 2004, Mr. Neuman beneficially owned 505,000 shares of Common Stock of the Company.

                  Mr. Neuman would be deemed the beneficial owner, within the meaning of Rule 13d-3 under the Exchange Act, of an aggregate of 505,000 shares of Common Stock. Those securities consist of 205,000 shares of common stock and the Options owned directly by Mr. Neuman, 100,000 shares of common stock held of record by Ratna Enterprises, LLC and 100,000 shares of common stock held of record by Sovereign Capital, LLC. Mr. Neuman shares voting and investment power with his wife with respect to the shares held of record by Ratna Enterprises, LLC and Sovereign Capital, LLC. Those securities represent 17.8% of the issued and outstanding shares of Common Stock of the Company, calculated in accordance with Rule 13d-1 under the Exchange Act.

       (b)      Mr. Neuman has the sole voting and dispositive power with respect to all of the Options and 205,000 shares of Common Stock, and shared voting and investment power with respect to 200,000 shares of common stock, identified in Item 5(a) above.
