ITEM 8.01.    Other Events.

        On September 1, 2004, Apartment Investment and Management Company ("Aimco") issued a press release concerning its assessment of the damage caused by Hurricane Charley and Tropical Storm Gaston, which affected at least 47 Aimco apartment properties in Florida and Virginia. A copy of the press release is attached hereto as Exhibit 99.1.
