200,000 shares were obtained for cash of $10,000.00 paid to Transact the other 831,670 was for the conversion of $8316.70 debt owed by the company to Bartlett.

Roderick Bartlett does not have any plans or proposals that relates to or would result in any of the actions enumerated in Item 4 of Schedule 13D.
