Remarks: The reporting person executed these two transactions on the same day in order to effect a transfer of shares of common stock from his Employee Stock Purchase Plan ("ESPP") account to one of his investment retirement accounts. Because a direct transfer was not possible, the reporting person sold 7,752 shares in his ESPP account, then immediately purchased 8,875 shares (7,752 shares plus an additional 1,123 shares) in one of his investment retirement accounts. |
