ITEM 3.01 Securities and Trading Markets.

On April 18, 2006 Newtek Business Services, Inc. was notified by the Nasdaq Listing Qualifications Department (the “Staff”) that, due to not filing its Annual Report on Form 10-K for the period ended December 31, 2005, Newtek was not in compliance with requirements under NASDAQ Marketplace Rule 4310(c)(14) and its common shares, therefore, were subject to delisting from the Nasdaq Stock Market at the opening of business on April 27, 2006 unless the company requests a hearing in accordance with applicable Nasdaq Marketplace Rules. Nasdaq Marketplace Rule 4310(c)(14) requires that issuers are current in their public filings.

Newtek intends to file its Annual Report as soon as possible. The filing delay has been caused by the reasons described in the Company’s Notification of Late Filing on Form 12b-25 filed with the Securities and Exchange Commission on March 31, 2006. The Company also intends to request a hearing before a Nasdaq Listing Qualifications Panel to review the Staff determination. However, there can be no assurance that the Panel will grant the Company’s request for continued listing.
