ITEM 8.01 Other Events.

On July 19, 2006, Newtek Business Services, Inc. issued a press release entitled “NASDAQ Confirms Newtek’s Compliance with NASDAQ Listing Requirements” following receipt of a letter from the NASDAQ Listing Qualifications Panel dated July 18, 2006 confirming that the company is in compliance with all requirements for continued listing. A copy of the press release is filed as Exhibit 99.1 to this Form 8-K and a copy of a letter from NASDAQ is filed as Exhibit 99.2 to this Form 8-K.
