Item   5.07  Submission of Matters to a Vote of Security Holders.
 
  Cooper Tire & Rubber Company (the “Company”) held its Annual Meeting of Stockholders on May 6, 2011 (the “Annual Meeting”).  The following are the final voting results on proposals considered and voted upon by stockholders at the Annual Meeting, all of which are described in more detail in the Company’s definitive proxy statement for the Annual Meeting filed March 22, 2011.
 
 1.  The following individuals were elected to serve as directors for a term expiring at the next Annual Meeting of Stockholders in 2012.  The voting results were as follows:
