On May 21, 2013, Lakeland Industries, Inc. (the “Company”) issued a press release announcing its financial results for the fiscal year ended January 31, 2013. A copy of the press release is attached hereto as Exhibit 99.1.
Item 3.01 | Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing. |
On May 17, 2013, the Company received a letter from The Nasdaq Stock Market (“Nasdaq”) indicating that the Company was not in compliance with the continued listing requirements under Nasdaq Listing Rule 5250(c)(1). The letter was issued in accordance with Nasdaq procedures due to the Company’s failure to timely file its Annual Report on Form 10-K for the fiscal year ended January 31, 2013 with the Securities and Exchange Commission.
Pursuant to Nasdaq Listing Rules, the Company has until July 16, 2013 to submit a plan to Nasdaq to regain compliance with the Nasdaq Listing Rules. The Company filed its Annual Report on May 21, 2013.

On May 21, 2013, the Company issued a press release announcing the Company’s acceptance of a commitment letter from a bank for a senior credit facility. A copy of this press release is attached hereto as Exhibit 99.1.
