Other Events.

 

On May 3, 2005, Material Sciences Corporation issued a press release announcing a delay in filing its Annual Report on Form 10-K for the fiscal year ended February 28, 2005 and the timing for releasing 2005 results. A copy of the press release is being filed as Exhibit 99.1 to this Form 8-K and is incorporated by reference herein.
