The following information is being furnished pursuant to Section 8 Item 8.01, “Other Events”.

 

On May 25, 2005, a press release was issued announcing the formation of a real estate company, TerraPointe LLC, to maximize value of HBU properties. A copy of Rayonier’s press release is attached hereto as Exhibit 99.
