SECTION 1. REGISTRANT’S BUSINESS AND OPERATIONS

 

ITEM 1.02. Termination of a Material Definitive Agreement.

 

On August 30, 2005, SRA International, Inc., (the Company) and its chairman, Ernst Volgenau, terminated a stock purchase agreement that required the Company to repurchase a limited number of shares from the chairman’s estate upon his death. The Company had purchased term life insurance policies on its chairman to meet these repurchase obligations. The Company has terminated all related term life insurance policies.
