Item 8.01. Other Events.
On June 20, 2006, Registrant issued a press release announcing it was notified of an unsolicited mini tender offer made by TRC Capital Corporation to purchase in cash up to seven million shares, or less than one percent of the outstanding common stock of Xerox Corporation at a price of $12.95 per share. The Registrant does not recommend this offer. Attached as Exhibit 99.1 to this Report is a copy of Registrants press release dated June 20, 2006 regarding the notification.
