Item 8.01 Other Events

On July 31, 2006, Integrated Device Technology, Inc., a Delaware corporation (“IDT”), completed its acquisition of the AC-97 and High Definition Audio (HD-Audio) PC and Notebook audio codec product lines of SigmaTel, Inc., a Delaware corporation (“SigmaTel”), pursuant to that certain Asset Purchase Agreement, dated as of July 25, 2006, by and between IDT and SigmaTel.
