Item 8.01 Other Events.
On April 30, 2007, American Tower Corporation (the “Company”) issued a press release announcing that it had priced, in a private transaction, $1.75 billion of Commercial Mortgage Pass-Through Certificates, Series 2007-1, which will be backed by debt of two special-purpose subsidiaries of the Company and secured primarily by mortgages on their interests in 5,295 broadcast and wireless communications towers and the related tower sites. A copy of the press release is filed herewith as Exhibit 99.1 and is incorporated by reference herein.
