SECTION 5. CORPORATE GOVERNANCE AND MANAGEMENT

 

ITEM 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On January 9, 2008, the SRA International, Inc. Board of Directors (the “Board”) appointed Edmund P. Giambastiani, Jr. (U.S. Navy, Retired) to the Board, effective immediately. The Board determined that Admiral Giambastiani qualifies as an “independent director” within the meaning of Section 303A of the New York Stock Exchange listing standards. There were no arrangements or understandings pursuant to which Admiral Giambastiani was appointed as a director, and there are no related party transactions between SRA International, Inc. and Admiral Giambastiani. Admiral Giambastiani has not at this time been appointed to any committee of the Board.

A copy of the press release, dated January 14, 2008, announcing the appointment of Admiral Giambastiani to the Board is attached hereto as Exhibit 99.1.
