Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 30, 2008, Jorge M. Perez announced his decision to resign as a member of the Boards of Directors of Regions Financial Corporation and Regions Bank effective immediately. Mr. Perez did not resign because of any disagreement with Regions.
