OUR COMPANY

Headquartered in Louisville, Kentucky, we are one of the nation’s largest publicly traded health and supplemental benefits companies, based on our 2008 revenues of $28.9 billion. We are a full-service benefits solutions company, offering a wide array of health and supplemental benefit products for employer groups, government benefit programs, and individuals. As of January 31, 2009, we had approximately 10.6 million members enrolled in our medical benefit plans, as well as approximately 6.8 million members enrolled in our specialty products. This reflects a decrease of approximately 924,000 members in our stand-alone PDP products effective January 1, 2009. During 2008, 72% of our premiums and administrative services fees were derived from contracts with the federal government, including 16% related to our contracts in Florida with the Centers for Medicare and Medicaid Services, or CMS, and 12% related to our military services contracts. Under our CMS contracts in Florida, we provide health insurance coverage to approximately 492,700 members as of December 31, 2008.

We manage our business with two segments: Government and Commercial. The Government segment consists of beneficiaries of government benefit programs, and includes three lines of business: Medicare, Military, and Medicaid. The Commercial segment consists of members enrolled in our medical and specialty products marketed to employer groups and individuals. We identified our segments in accordance with the aggregation provisions of Statement of Financial Accounting Standards (SFAS) No. 131, Disclosures About Segments of an Enterprise and Related Information, or SFAS 131, which aggregates products with similar economic characteristics. These characteristics include the nature of customer groups as well as pricing, benefits, and underwriting requirements. These segment groupings are consistent with information used by our Chief Executive Officer.

The results of each segment are measured by income before income taxes. We allocate all selling, general and administrative expenses, investment and other revenue, interest expense, and goodwill, but no other assets or liabilities, to our segments. Members served by our two segments often utilize the same provider networks, in some instances enabling us to obtain more favorable contract terms with providers. Our segments also share indirect overhead costs and assets. As a result, the profitability of each segment is interdependent.

RECENT EVENTS

On February 20, 2009, CMS announced preliminary 2010 Medicare Advantage payment rates. We have joined with the health industry in closely analyzing all aspects of the CMS preliminary rate announcement, and were part of the formal industry comment process on the CMS announcement. The industry’s response was submitted to CMS on March 6, 2009. The final rates will be released on April 6, 2009.

On February 26, 2009, President Obama released a proposed budget for the 2010 fiscal year that included a $634 billion reserve fund for health care that would be funded, in part, by establishing rates paid to health plans via competitive bid process beginning in 2012.

Stock prices of publicly traded health benefits insurers, including Humana, have reacted negatively to one or both announcements. Neither the CMS preliminary rate announcement nor the proposed 2010 budget are final, and both are subject to change.

Global Securities

What is a Global Security? A global security represents one or any other number of individual securities. Generally, all securities represented by the same global securities will have the same terms. We may, however, issue a global security that represents multiple securities that have different terms and are issued at different times. We call this kind of global security a master global security.

Each security issued in book-entry form will be represented by a global security that we deposit with and register in the name of a financial institution that we select or its nominee.
