State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

International Assets Holding Corporation (the “Company”) will not be able to file its Annual Report on Form 10-K for the period ended September 30, 2010 (the “Form 10-K”) by its prescribed due date of December 14, 2010. The Company will file the Form 10-K with the SEC as soon as possible and in any event not later than December 29, 2010.

The delay is attributable to additional work required at the first fiscal year-end following the acquisition by the Company of FCStone Group, Inc. on September 30, 2009, and to reflect the acquisitions made by the Company during the 2010 fiscal year.

For the fiscal year ended September 30, 2010, the Company expects to report operating revenues of $269.0 million (fiscal 2009 - $90.6 million) and net income of $5.4 million (fiscal 2009 – $27.6 million).
