ITEM 2.02 Results of Operations and Financial Condition.

On October 23, 2014, Hubbell Incorporated (the “Company”) announced its financial results for the third quarter of 2014. The Company reported net sales of $895.3 million and earnings per diluted share of $1.51 for the third quarter of 2014, as compared to net sales of $835.9 million and earnings per diluted share of $1.62 reported for the third quarter of 2013. The Company also reported net income attributable to Hubbell of $89.6 million for the third quarter of 2014, as compared to net income attributable to Hubbell of $96.5 million for the third quarter of 2013. A copy of the press release is attached hereto as Exhibit 99.1.
