Section 7 – Regulation FD

Item 7.01 Regulation FD Disclosure.

On April 30, 2015, Armstrong World Industries, Inc. (the “Company”) held a conference call to discuss its financial results for the first quarter ended March 31, 2015 during which it was stated that the Company had lowered its adjusted earnings per share guidance for 2015 by $0.05, to an estimated range of $2.00 to $2.40 per share. During the call, this $0.05 per share decrease was incorrectly attributed to a $3 million Internal Revenue Code Section 382 expense incurred during the first quarter. The Company wishes to clarify that the $0.05 per share decrease was as a result of expenses related to balance sheet revaluations of non-functional currency assets/liabilities in the first quarter.

The information in Item 7.01 of this Current Report on Form 8-K is being furnished herewith and shall not be deemed “filed” for the purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the liabilities of that section, nor shall it be deemed incorporated by reference into any filing under the Securities Act of 1933, as amended, or the Exchange Act, except as expressly set forth by specific reference in such filing.
