[Customer name],

As you may have seen reported this morning, Enbridge has announced that we have entered into a definitive merger agreement to combine with Spectra Energy. If you have not seen this morning’s announcement, the press release can be accessed online at http://www.enbridge.com/enbridge-and-spectra.

This is a truly transformational transaction that brings the scale, reach and market access to position us as a leader in the gathering, processing and transportation of natural gas across North America. With this combination, we will create a premier North American energy company with liquids and natural gas pipeline infrastructure that will be unmatched in scale and diversity.

You are a valued Enbridge customer, so I wanted to make sure we had an opportunity to connect and to provide background on the benefits the transaction will deliver for our customers.

Opportunities:

  1. This transaction opens new markets for Enbridge, which means significant opportunities for our customers. Over the long-term, the combined asset base and expanded geographic footprint will give us access to opportunities and markets we do not currently have.
  2. This transaction significantly increases our scale, both in Canada and in the U.S., extending our geographic reach and focus on growing infrastructure in unconventional producing regions. This gives us the opportunity to leverage the expanded footprint to provide our customers with added efficiency and flexibility across the natural gas value chain.
  3. The combined business adds capabilities and efficiencies to help capitalize and execute on infrastructure projects required to deliver the energy needed to fuel people’s quality of life.

The transaction is expected to close in the first quarter of 2017, subject to shareholder and certain regulatory and government approvals, and the satisfaction of other customary conditions. In the meantime, it’s business as usual and the two companies will continue to operate independently. This means:

  1. All of Enbridge’s gas businesses including Alliance Pipeline, Aux Sable, Canadian Midstream, Midcoast, Offshore Pipelines and Vector, will continue to provide industry leading gathering, processing and transmission services for gas and natural gas liquids.
  2. Customers of the NEB- and FERC-regulated pipelines as well as Provincially-regulated gas distribution companies will continue to have access to safe, reliable tariff services and competitive tolls delivering natural gas to diverse and growing markets.

We will provide important updates as this transaction continues to closing and certainly welcome your feedback on the combination of Enbridge and Spectra Energy. Information will also be available online at Enbridge.com.

If you have any questions on the transaction, please let me know.

Best regards,

Reese/Weathers/Poe/Harper

NON-GAAP MEASURES

This communication makes reference to non-GAAP measures, including ACFFO and ACFFO per share. ACFFO is defined as cash flow provided by operating activities before changes in operating assets and liabilities (including changes in environmental liabilities) less distributions to non-controlling interests and redeemable non-controlling interests, preference share dividends and maintenance capital expenditures, and further adjusted for unusual, non-recurring or non-operating factors. Management of Enbridge believes the presentation of these measures gives useful information to investors and shareholders as they provide increased transparency and insight into the performance of Enbridge. Management of Enbridge uses ACFFO to assess performance and to set its dividend payout target. These measures are not measures that have a standardized meaning prescribed by generally accepted accounting principles in the United States of America (U.S. GAAP) and may not be comparable with similar measures presented by other issuers. Additional information on Enbridge’s use of non-GAAP measures can be found in Enbridge’s Management’s Discussion and Analysis (MD&A) available on Enbridge’s website and www.sedar.com.
