RESIGNATION OF DIRECTOR

China Eastern Airlines Corporation Limited (the “Company”) received the resignation letter tendered by Mr. Xu Zhao (“Mr. Xu”), a director of the Company on 6 February 2018. Mr. Xu has resigned from his position as a director of the Company and a member of Audit and Risk Management Committee of the board of directors of the Company (the “Board”) due to personal work reason. Pursuant to the requirements of the relevant laws and regulations such as the Company Law of the People’s Republic of China, Mr. Xu’s resignation letter has been delivered to the Board and has become effective.

Mr. Xu has confirmed that he has no disagreement with the Board and there is no matter relating to his resignation that needs to be brought to the attention of the shareholders of the Company.

During his tenure of office on the Board, Mr. Xu has demonstrated his loyalty, diligence and dedication in performing his duties as a director. He has made various contributions in and has given professional advice on matters such as improving corporate governance of the Company, material decision-makings of the Board and safeguarding interests of the Company and all of its shareholders. The Board would like to express its sincere gratitude to Mr. Xu’s contributions to the Company’s development during his tenure of office.

The Board noted that, after the resignation of Mr. Xu, the Audit and Risk Management Committee of the Company fails to meet the minimum requirement of three members under Rule 3.21 of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (the “Listing Rules”). As such, the Board will make its best endeavours to identify suitable candidate to fill the vacancy as soon as practicable, with the relevant appointment to be made within three months from the date of the resignation of Mr. Xu to meet the requirement under the Listing Rules and will make further announcement as and when appropriate.
