Walgreens Won’t Buy An Insurer If AmerisourceBergen Stake Grows

News that Walgreens Boots Alliance is in talks to buy the rest of drug distributor AmerisourceBergen Corp. means the drugstore giant is unlikely to buy a health insurer.

 

Some industry observers have speculated for weeks that Walgreens would follow the lead of rival pharmacy chain CVS Health into the health insurance business. CVS is spending $69 billion to buy Aetna, the nation’s third-largest health insurer.

 

But Walgreens is now looking to spend potentially billions of dollars to buy the remaining 74% of AmerisourceBergen that the retail pharmacy giant doesn’t yet own. The Wall Street Journal reported Monday on the deal though Walgreens is so far mum.

 

A larger stake by Walgreens in AmerisourceBergen “more likely than not” takes Walgreens “off the table for a near term acquisition of Humana or WellCare Health Plans,” Leerink Partners analyst Ana Gupte wrote after news of Walgreens-Amerisource talks broke.

 

When it comes to relationships with insurance companies, Walgreens chief executive Stefano Pessina has been more interested in partnerships with insurers rather than an acquisition or financial stake.

 

Walgreens already has a successful and expanding partnership with UnitedHealth Group and its OptumRx pharmacy benefit manager as well as the PBM Prime Therapeutics, which is owned by 18 Blue Cross and Blue Shield health plans.

 

Walgreens’ partnership with Prime is one of the reasons CVS Health needed to buy Aetna. As part of the Prime-Walgreens relationship formed two years ago, Blue Cross members are in effect directed away from CVS drugstores to Walgreens pharmacies as part of Prime’s national preferred pharmacy network. The preferred pharmacy network began Jan. 1, 2017.

 

In agreeing to buy Aetna, CVS will gain more than 22 million health plan members in an escalating battle over U.S. prescriptions.
