Item 5.07. Submission of Matters to a Vote of Security Holders

On June 12, 2018, the Annual Meeting of Stockholders (the “Meeting”) of Santander Consumer USA Holdings Inc. (the “Company”) was held in Dallas, Texas. As of the close of business on April 16, 2018, the record date for the Meeting, there were 361,049,216 shares of the Company’s common stock outstanding, with each share entitled to one vote on each matter presented for consideration at the Meeting. The holders of 344,391,998 shares of the Company’s common stock were present in person, or represented by proxy, at the Meeting. At the Meeting, the Company’s stockholders voted on the matters set forth below.

Proposal 1 – Company Proposal – Election of Directors. The Company’s stockholders elected all 10 individuals nominated for election as directors, as set forth in the Company’s proxy statement, dated April 30, 2018, to serve on the Company’s Board of Directors until the Company’s 2019 Annual Meeting of Stockholders. Proposal 4 – Stockholder Proposal – Request for the preparation and approval of a report related to the monitoring and management of certain risks related to vehicle lending. The Company’s stockholders voted and did not approve the proposal by the AFL-CIO Reserve Fund requesting the preparation and approval of a report related the monitoring and management of racial discrimination in vehicle lending.
