Item 5.05 Amendments to the Registrant's Code of Ethics, or Waiver of a Provision of the Code of Ethics.

On June 11, 2008, Loral Space & Communications Inc. adopted revisions to its code of conduct. The revisions include, among other things, updates to the sections regarding special requirements when marketing and contracting with the federal government and reporting violations and addition of a new section regarding compliance with economic sanctions measures administered by the U.S. Department of the Treasury's Office of Foreign Assets Control. A copy of the Code of Conduct, revised as of June 11, 2008, is being filed as Exhibit 14.1 to this Current Report on Form 8-K and is hereby incorporated in this Item 5.05 by reference thereto.
