Item 2.02 Results of Operations and Financial Condition.
On January 20, 2009, National Fuel Gas Company (the "Company") issued a press release regarding a significant non-cash charge to write down the value of the oil and natural gas producing properties of Seneca Resources Corporation, the Company’s wholly owned exploration and production subsidiary, at December 31, 2008. Significant declines in market prices for crude oil and natural gas between September 30, 2008 and December 31, 2008 require the write-down, which is expected to be in the range of $100 million to $120 million after tax. A copy of the press release is furnished as part of this Current Report as Exhibit 99.

Item 8.01 Other Events.
In connection with the preparation of financial statements required to be included in the Company’s Form 10-Q for the quarter ended December 31, 2008, the Company concluded that a material charge for impairment to the oil and natural gas producing properties of Seneca Resources Corporation ("Seneca"), the Company’s wholly owned exploration and production subsidiary, is required under generally accepted accounting principles. The decline in market prices for crude oil and natural gas at December 31, 2008 requires the impairment charge.
Seneca uses the full cost method of accounting for determining the book value of its oil and natural gas producing properties. This accounting method requires that Seneca perform a quarterly "ceiling test" to compare the present value of future revenues from its oil and natural gas reserves based on market prices as of the last day of the quarter (the "ceiling") with the book value of those reserves at the balance sheet date. If the book value of the reserves exceeds the ceiling, a non-cash charge must be recorded in order to reduce the book value of the reserves to the calculated ceiling.
At December 31, 2008, spot market prices for crude oil and natural gas that are used to calculate the ceiling had declined significantly to $41.00 per barrel (Cushing, Oklahoma) and $5.71 per million British thermal units (Henry Hub), respectively. The book value of Seneca’s reserves is expected to exceed the ceiling calculated as of December 31, 2008. Therefore, Seneca will be required to record an after-tax impairment charge, which is expected to be in the range of $100 million to $120 million. The impairment charge is not expected to result in future cash expenditures.
