Item 2.04.
Triggering Events that Accelerate or Increase a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement

On March 4, 2019, GameStop Corp. (the “Company”) issued a notice of redemption to redeem all of its outstanding 5.50% Senior Notes due 2019 (the “Notes”), which are governed by that certain Indenture dated September 24, 2014, by and among Company, certain subsidiary guarantors party thereto and U.S. Bank National Association, as trustee (in such capacity, the “Trustee”) (as amended and supplemented by First Supplemental Indenture, dated as of March 7, 2016, the Second Supplemental Indenture, dated as of July 21, 2017 and the Third Supplemental Indenture, dated as of January 16, 2019, the “Indenture”). The redemption date will be April 4, 2019 (the “Redemption Date”) and the redemption price will be equal to $1,000 per $1,000 principal amount of the Notes, representing 100.00% of the aggregate principal amount being redeemed, plus accrued but unpaid interest thereon to, but not including, the Redemption Date. Upon the redemption by the Company of the Notes, none of the Notes will remain outstanding. The Company expects to pay the redemption price for the Notes with cash on hand.
