Item 8.01    Other Events.

On April 30, 2019, Ingersoll-Rand plc ("Ingersoll Rand") and Gardner Denver Holdings, Inc. ("Gardner Denver") announced that they have entered into definitive agreements pursuant to which Ingersoll Rand will separate its Industrial segment businesses by way of spin-off to Ingersoll Rand's shareholders and then combine Ingersoll Rand’s Industrial segment with Gardner Denver, creating a global leader in mission-critical flow creation and industrial technologies. A copy of the joint press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

In connection with the proposed transaction, Gardner Denver and Ingersoll Rand U.S. Holdco Inc.
