Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On December 6, 2018 and effective that same date, the board of directors of NTN Buzztime, Inc. (the “Company”) approved an amendment to the Company’s bylaws to add a forum selection provision providing that the sole and exclusive forum for certain proceedings relating to the Company will be a state court within the State of Delaware (or, if no state court located within the State of Delaware has jurisdiction, the federal district court for the District of Delaware). The foregoing description of the bylaw amendment does not purport to be complete and is qualified in its entirety by reference to the full text of the bylaws filed as an exhibit to this report and incorporated by reference herein.

On December 7, 2018, the Company issued a press release announcing that its board of directors is exploring and evaluating strategic alternatives focused on maximizing shareholder value. A copy of the press release is filed as Exhibit 99.1 to this report and is incorporated herein by reference.
