On October 16, 2002, Registrant accepted the resignation of H. Samuel
Greenawalt from his position as a Director.

On October 16, 2002, Dr. Jeffrey E. Rautio and Mr. Salvatore Parlatore were
elected Directors, and Majlinda Xhuti was elected Chief Financial Officer of
Registrant.
