ITEM 8.01. OTHER EVENTS
The Registrant’s annual meeting of shareowners, previously scheduled for February 15, 2005, has been rescheduled to March 23, 2005, to be held at the Hyatt Lisle located at 1400 Corporetum Drive in Lisle, Illinois, at 10:00 a.m. Central Time. The meeting was rescheduled in order to allow time for the company to complete its review of a previously announced analysis regarding the application of certain accounting standards relating to the securitization of assets at the company's finance subsidiary. The record date for the rescheduled annual meeting is February 17, 2005. The company expects to mail its proxy materials for the annual meeting on or about February 21, 2005.
