Item 1.01 Entry into a Material Definitive Agreement.
On October 10, 2014, Ramco-Gershenson Properties Trust (the “Registrant”), through its majority-owned operating partnership subsidiary Ramco-Gershenson Properties, L.P. (the “Operating Partnership”), entered into a Fourth Amendment to its Third Amended and Restated Unsecured Master Loan Agreement with KeyBank and other banks. This amendment increases the total revolving credit commitment to $350 million and extends the revolving credit maturity date to October 2018, which may be further extended to October 2019 at the borrower's election.
In addition, the amendment incorporates certain changes to covenants, none of which are expected to have a material impact on the operations of the Operating Partnership. The interest rate for the facility is calculated based on the Operating Partnership's leverage ratio as defined in the agreement.
