     On October 30, 2003, SIPEX Corporation (the “Registrant”) announced completion of its previously announced reincorporation from the Commonwealth of Massachusetts into the State of Delaware. A copy of the Registrant’s new Delaware Amended and Restated Certificate of Incorporation and Bylaws are attached as Exhibits 3.1 and 3.2, respectively, to the Registrant’s Registration Statement on Form 8-A filed with the Securities and Exchange Commission on October 28, 2003, and are incorporated by reference into this Item 5 of this Form 8-K.
