This Statement is filed on behalf of each of the following persons (collectively, the “Reporting Persons”):

SAB Capital Advisors, L.L.C. (the “General Partner”);

SAB Capital Management, L.P. (the “Investment Manager”);

SAB Capital Management, L.L.C. (the “IMGP”);

 
iv) 
Scott A. Bommer (“Mr. Bommer”).

This Statement relates to Shares (as defined herein) held for the account of each of SAB Capital Partners, L.P., a Delaware limited partnership (“SAB”), SAB Capital Partners II, L.P., a Delaware limited partnership (“SAB II”), the SAB Overseas Master Fund, L.P., a Delaware limited partnership (“SAB Overseas”), and SAB Special Opportunity Partners, L.P., a Delaware limited partnership (“Special Opportunity”).  The General Partner serves as the general partner of each of SAB, SAB II, and SAB Overseas.  SAB Special Opportunity Advisors, L.L.C. (the “Special General Partner”) serves as the general partner of Special Opportunity. The Investment Manager serves as the investment manager of each of SAB, SAB II, SAB Overseas and Special Opportunity.  The IMGP serves as the general partner of the Investment Manager.  Mr. Bommer serves as the managing member of each of the General Partner, the Special General Partner and IMGP.

Any disclosures herein with respect to persons other than the Reporting Persons are made on information and belief after making inquiry to the appropriate party.

As of January 11, 2012, General Partner was deemed the beneficial owner of 9,651,183 Shares, which amount included: A) 6,513,285 Shares held for the account of SAB; B) 212,487 Shares held for the account of SAB II; and C) 2,925,411 Shares held for the account of SAB Overseas.

As of January 11, 2012, each of the Investment Manager, IMGP and Mr. Bommer were deemed the beneficial owner of 9,701,183 Shares, which amount included the Shares beneficially owned by General Partner, as described above, and 50,000 Shares held for the account of Special Opportunity.

As of January 23, 2012, General Partner may be deemed the beneficial owner of 8,832,483 Shares, which amount includes: A) 5,960,907 Shares held for the account of SAB; B) 194,264 Shares held for the account of SAB II; and C) 2,677,312 Shares held for the account of SAB Overseas.

As of January 23, 2012, each of the Investment Manager, IMGP and Mr. Bommer may be deemed the beneficial owner of 8,850,083 Shares, which amount includes the Shares beneficially owned by General Partner, as described above, and 17,600 Shares held for the account of Special Opportunity.

As of January 11, 2012, each of the Reporting Persons were deemed the beneficial owner of approximately 6.9% of Shares outstanding. (The Reporting Persons' beneficial ownership percentage is based on 140,596,708 Shares outstanding as of January 10, 2012, according to the Issuer’s prospectus on Form 424B5, filed January 12, 2012.)

As of January 23, 2012, each of the Reporting Persons may be deemed the beneficial owner of approximately 4.9% of Shares outstanding. (The Reporting Persons' beneficial ownership percentage is based on 140,596,708 Shares outstanding as of January 10, 2012, according to the Issuer’s prospectus on Form 424B5, filed January 12, 2012, plus an additional 39,100,000 Shares outstanding upon completion of the Issuer’s public offering on January 17, 2012, according to the Issuer’s current report on Form 8-K, filed January 17, 2012, for a total of 179,696,708 Shares outstanding.)
