         On July 27, 2005, Elbit Systems Ltd. (the "Registrant")  announced that
August 1, 2005 has been set as the  record  date for  shareholders  entitled  to
receive notice of and vote at the Registrant's  Extraordinary General Meeting of
Shareholders  to be held on August  23,  2005 (the  "Meeting").  The  Registrant
intends  to  distribute  to  shareholders  on or about  August  2,  2005 a proxy
statement with respect to the Meeting.
