The Company is unable to file its Quarterly Report on Form 10-Q for the quarter ended December 31, 2005 (the “Form 10-Q”) by the February 9, 2006 deadline for accelerated filers, because of delays due to the departure of its Chief Financial Officer in January 2006. The Company anticipates filing the Form 10-Q by February 14, 2006.
