Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On June 29, 2006, the Aetna Inc. (“Aetna”) Board of Directors appointed Frank M. Clark a director of Aetna effective immediately. With the appointment of Mr. Clark, Aetna’s Board consists of thirteen directors.
