STATEMENT PURSUANT TO GENERAL INSTRUCTION E TO FORM S-8
     The purpose of this Registration Statement is to register 1,500,000 additional shares of Common Stock, no par value (the “Common Stock”), of Orion Energy Systems, Inc. (the “Company”) in connection with the 2004 Stock and Incentive Awards Plan.
     Pursuant to General Instruction E of Form S-8, the contents of the Company’s Registration Statement on Form S-8 (Registration No. 333-148401), including the documents incorporated by reference therein, are incorporated by reference into this Registration Statement, except as set forth below.
