ITEM 7.01 REGULATION FD DISCLOSURE

On May 16, 2008, Ashford Hospitality Trust, Inc. (the “Company”) announced that it had agreed to sell the Hyatt Regency Montreal in Montreal, Quebec for $58.5 million CDN. The transaction is expected to close by the end of second quarter of 2008. The press release is attached hereto as Exhibit 99.1.
