Item 8.01. Other Events.
     On November 22, 2005, SS&C Technologies, Inc. (the “Company”) issued a press release announcing that the stockholders of the Company voted to adopt the Agreement and Plan of Merger, dated as of July 28, 2005, as amended on August 25, 2005, by and among Sunshine Acquisition Corporation, Sunshine Merger Corporation and the Company at the Company’s special meeting of stockholders.
     A copy of the press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
