Item 5.02   Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangement of Certain Officers.

     On May 17, 2007, the Board of Directors of Libbey Inc. accepted the resignation of Gary L. Moreau, effective immediately. Mr. Moreau resigned for personal reasons. Our Board of Directors has appointed Carlos V. Duno as Chair of the Audit Committee of the Board of Directors. Deborah G. Miller will chair and lead executive sessions of our Board of Directors.
