Item 5.02		Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

     On July 8, 2008, Thomas W. Bunn, Vice Chair of KeyCorp, announced his intention to retire from Key effective February 28, 2009. Key has requested Mr. Bunn to provide transitioning services to facilitate the hiring and orientation of his replacement. The terms of these services and other retirement provisions are still under discussion.
