February 5, 2009, Fentura Financial, Inc. (the “Company”) announced that it has withdrawn
its application to participate in the U.S. Treasury Department’s Capital Purchase Program of the
Troubled Asset Relief Program (“TARP”). The Company’s announcement is attached hereto as Exhibit
99.1 and is incorporated herein by reference.
