How will this merger impact customers? How will they benefit?
|
The businesses from Praxair and Linde are highly complementary – not only from a geographical perspective but also in the area of product service offers linked to specific industrial segments. In essence this means that customers currently being supported by one of the companies will in future also have access to the technological competence of the other. In addition, the combination of existing proven tools and processes will create benefits for customers, for example more transparency on cylinder holdings, paperless processes, online self-services up to full service with a state of the art e-channel.

Will there be any disruption to business relationships with Linde?
|
Certainly not. We will continue to honor the relationships with our customers and deliver products and services of the highest quality, since that is the key to our success. Following Closing, Linde and Praxair will ensure a seamless transition process for our customers. Until Closing, Linde and Praxair will remain two separate companies. Nothing will change in relation to how we compete for business and nothing will change for our existing customers.

How are we ensuring business continuity?
|
A joint integration team with key representatives from both parties will work together to develop a plan for an immediate start to integration after Closing. All other teams within Linde will continue their existing responsibilities going forward to ensure continuity and make sure that we cater to our customers’ needs in the best way possible. Until Closing, Linde and Praxair will remain two separate companies.

Following Closing, Linde and Praxair will ensure a seamless transition process for our customers. Until Closing, Linde and Praxair will remain two separate companies.

Is there anything customers need to be aware of when asking for a joint offer of Linde and Praxair or for an offer aligned between Linde and Praxair?
|
Until the transaction is approved by the many antitrust bodies and closed Linde and Praxair will remain two entirely separate entities and competitors. Thus, any alignment between competitors (e.g. joint offers) can only be extended in very exceptional cases and after being subject to strict legal scrutiny.

Additional Information and Where to Find It
In connection with the proposed business combination between Praxair, Inc. (“Praxair”) and Linde AG (“Linde”), Zamalight PLC (“New Holdco”) is expected to file a Registration Statement on Form S-4 with the U.S. Securities and Exchange Commission (“SEC”) that will include (1) a proxy statement of Praxair that will also constitute a prospectus for New Holdco and (2) an offering prospectus of New Holdco to be used in connection with New Holdco’s offer to acquire Linde shares held by U.S. holders. When available, Praxair will mail the proxy statement/prospectus to its stockholders in connection with the vote to approve the merger of Praxair and an indirect wholly-owned subsidiary of New Holdco, and New Holdco will distribute the offering prospectus to Linde shareholders in the United States in connection with New Holdco’s offer to acquire all of the outstanding shares of Linde.
