The Board of Directors of UIL agreed to sell the Company to Iberdrola SA. Under the terms of the transaction, Iberdrola will combine its U.S. unit with UIL and list the company on the U.S. exchange. Under the terms of the agreement, UIL shareholders will receive one share of the newly-listed company for each UIL share they own, plus a cash payment of $10.50, representing a value of approximately $52.75 per share. Upon completion of the deal, UIL shareholders will own 18.5% of the new company. The investigation concerns whether the Board of UIL breached their fiduciary duties to stockholders by failing to adequately shop the Company before agreeing to enter into this transaction, and whether Iberdrola SA is underpaying for UIL shares.
