EXPLANATORY NOTE
Pursuant to General Instruction E of Form S-8, this Post-Effective Amendment No. 1 to the Registration Statement on Form S-8 of Artemis International Solutions Corporation (the Company) is being filed in order to register 4,924,534 additional shares of the Companys Common Stock, $0.001 par value per share, which may be issued from time to time under both the Companys 2000 Stock Option Plan and the 2000 Non-Employee Directors Stock Option Plan (the Plans). The contents of the Registration Statement on Form S-8, registration number 333-35472, are hereby incorporated by reference into this Registration Statement.
