Item 2.01.
Completion of Acquisition or Disposition of Assets

On September 4, 2008, Nalco Company, a subsidiary of Nalco Holding Company, closed the transaction announced in a filing on Form 8-K on July 28, 2008, to sell certain intellectual property, products, customer relationships and goodwill, plant assets and other assets directly relating to its Finishing Technology Group business to Rockwood Holdings Inc.'s subsidiary Chemetall Corp. The final purchase price for the business and assets is $75 million.
