Section 2 - Financial Information 

Item 2.02. Results of Operations and Financial Condition

On July 27, 2007, Ingersoll-Rand Company Limited (the “Company”) issued a press release announcing its second quarter 2007 results.  A copy of the press release is being furnished as Exhibit 99.1 to this Form 8-K and shall not be deemed filed for the purposes of Section 18 of the Exchange Act.


Section 8 - Other Events 

Item 8.01. Other Events

On July 20, 2007, the Company and its consolidated subsidiaries received a notice from the Internal Revenue Service (IRS) containing proposed adjustments to the Company’s tax filings in connection with an audit of the 2001 and 2002 tax years. The IRS did not contest the validity of the Company’s reincorporation in Bermuda. The most significant adjustments proposed by the IRS involve treating the intercompany debt incurred in connection with the Company’s reincorporation in Bermuda as equity. The Company strongly disagrees with the view of the IRS and intends to vigorously contest these proposed adjustments. Based upon an analysis of the strength of its position, the Company believes that it is adequately reserved for this matter and does not expect that the ultimate resolution will have a material adverse impact on its future results of operations or financial position. This item shall be deemed filed for the purposes of Section 18 of the Exchange Act.
