ANNOUNCEMENT IN RELATION

TO THE NON-DISPOSAL UNDERTAKING

BY CEA HOLDING, THE CONTROLLING SHAREHOLDER

 

This announcement is made by the Company pursuant to Rule 13.09 and Rule 13.10B of the Rules Governing the Listing of Securities (the “Listing Rules”) on The Stock Exchange of Hong Kong Limited and the Inside Information Provisions (as defined under the Listing Rules) under Part XIVA of the Securities and Futures Ordinance.

 

The Company and all members of the Board warrant that the information set out in this announcement is true, accurate and complete, and accept joint responsibility for any false information or misleading statements contained in, or material omissions from, this announcement.

  

China Eastern Airlines Corporation Limited (the “Company”) has recently received the Undertaking by China Eastern Air Holding Company in relation to the Non-disposal of Shares in China Eastern Airlines Corporation Limited(《關於中國東方航空集團公司不減持中國東 方航空股份有限公司股份的承諾》)from中國東方航空集團公司(China Eastern Air Holding Company, “CEA Holding”), the controlling shareholder of the Company, details of which are set out as follows:

 

An aggregate of 698,865,000 ordinary shares issued under the non-public issuance of A Shares of the Company and subscribed by CEA Holding and its wholly-owned subsidiary, CES Finance Holding Co., Ltd.(“CES Finance”), on 16 April 2013 are available for trading upon expiry of the lock-up period on 18 April 2016.

In view of the optimism on the long-term prospect of the Company’s investment value, the recognition of the management team and the solid confidence in the sustainable and robust development of the Company in the future, CEA Holding has undertaken that it, together with CES Finance, will not dispose of their unlocked shares of the Company within 24 months from 18 April 2016 in order to safeguard the continuous, stable and healthy development of the Company and the interest of the shareholders of the Company as a whole.
